KK Web Works LLC Plugin License Agreement

Effective Date: 1/27/25

This Plugin License Agreement (the "Agreement") is entered into by and between KK Web Works LLC ("Licensor") and the purchaser of the plugin ("Licensee"). By purchasing, downloading, or using the plugin, Licensee agrees to be bound by the terms of this Agreement.

1. Grant of License

Licensor grants Licensee a limited, non-exclusive, non-transferable license to use the plugin (the "Plugin") solely on one website or domain owned by Licensee. Any additional use of the Plugin requires the purchase of additional licenses.

2. Restrictions

Licensee may not:

  1. Copy, reproduce, distribute, or resell the Plugin in whole or in part.

  2. Share, sublicense, or transfer the Plugin to any third party.

  3. Decompile, reverse engineer, or otherwise attempt to extract the source code of the Plugin.

3. Ownership

The Plugin is the intellectual property of KK Web Works LLC and is protected by copyright law. This Agreement does not transfer ownership of the Plugin to Licensee. All rights not explicitly granted to Licensee remain with Licensor.

4. Updates

Licensor may, at its sole discretion, provide updates or improvements to the Plugin. Access to updates may require a valid license, and additional fees may apply. Licensor is not obligated to provide updates beyond 1 Year.

5. Support

Licensor agrees to provide technical support for the Plugin for 1 Year following the purchase date. Beyond this period, support may be available for an additional fee.

6. Termination

This Agreement is effective until terminated. Licensor may terminate this Agreement if Licensee violates any terms. Upon termination, Licensee must cease all use of the Plugin and destroy all copies in Licensee's possession.

7. Disclaimer of Warranties

The Plugin is provided "as is," without warranties of any kind, express or implied, including but not limited to warranties of merchantability or fitness for a particular purpose. Licensor does not guarantee that the Plugin will meet Licensee's requirements or operate without interruption or error.

8. Limitation of Liability

To the fullest extent permitted by law, Licensor shall not be liable for any damages arising out of or in connection with the use or inability to use the Plugin, including but not limited to loss of profits, business interruptions, or data loss.

9. License Keys

Licensee must use a valid license key provided by Licensor to activate the Plugin. The license key is unique to the Licensee and may not be shared, transferred, or reused on unauthorized websites.

10. Governing Law

This Agreement shall be governed by the laws of the State of New York, without regard to its conflict of laws principles.

11. Entire Agreement

This Agreement constitutes the entire understanding between Licensor and Licensee regarding the Plugin and supersedes all prior agreements, discussions, or representations.

By purchasing and using the Plugin, Licensee acknowledges that they have read and understood this Agreement and agree to be bound by its terms.
